Yulo Terms of Service

1. Eligibility and authority

You must be at least 18 years old and legally capable of entering a contract. You may use Yulo only where lawful. If you use Yulo for an organization, you represent that you have authority to bind it. You are responsible for laws applicable to you, including tax, sanctions, anti-money-laundering, consumer-protection, and digital-asset laws.

2. What Yulo provides

Yulo provides software interfaces and related services for self-custodial wallets, USDC payments, public blockchain transactions, payment requests, QR payments, business discovery, kiosk and catalog tools, and other features we may introduce. Features, assets, networks, countries, limits, and availability may change.

Yulo is not a bank, credit union, broker, investment adviser, exchange, fiduciary, custodian, or money transmitter merely by providing this self-custodial software. Optional services may be supplied by regulated or independent third parties under separate agreements.

3. Self-custody; no recovery by Yulo

You control your wallet’s private key and recovery phrase. Yulo does not receive, store, or control them and cannot access, freeze, reverse, recover, or transfer your assets. If your recovery phrase, private key, passcode, or device is lost, stolen, exposed, or destroyed, you may permanently lose access. Never share a recovery phrase or private key. Yulo support will never request them.

4. Blockchain transactions

• Blockchain transactions may be irreversible. Verify the recipient, network, token, amount, and details before authorization.
• Yulo cannot cancel, reverse, refund, modify, or guarantee a transaction. Errors, incompatible addresses, unsupported tokens, smart contracts, congestion, reorganizations, forks, outages, and protocol changes can cause delay or permanent loss.
• Displayed balances, fiat values, status, fees, estimates, confirmations, and transaction information may be delayed, incomplete, or inaccurate. The applicable blockchain record controls.
• Network fees, relayer costs, provider charges, spreads, taxes, or other fees may apply. Estimates may change.

5. Accounts and security

You must provide accurate information, maintain control of credentials and devices, and promptly notify us of suspected unauthorized access. We may apply authentication requirements, rate limits, security holds, or feature restrictions to protect Yulo and its users.

6. Third-party services

Yulo may link to or integrate independent blockchain networks, infrastructure providers, app stores, maps, ramps, identity verification, bank linking, card issuers, payment processors, and merchant services. They may impose separate eligibility, verification, fees, terms, and privacy notices. Yulo is not responsible for their acts, omissions, availability, content, or losses except where law provides otherwise.

7. Subscriptions and paid features

Some features may require a subscription. Prices, billing intervals, trials, renewal terms, and included features will be disclosed before purchase. Apple App Store and Google Play purchases are billed, renewed, canceled, and refunded under their rules. Unless required by law or the applicable store, fees are nonrefundable. Network and third-party fees may still apply.

8. Acceptable use

You may not use Yulo to violate law, sanctions, court orders, or another person’s rights; facilitate fraud, theft, laundering, terrorist financing, evasion, scams, trafficking, ransomware, or unlawful trade; impersonate others or provide misleading information; bypass security, overload or disrupt Yulo, introduce malicious code, or scrape unreasonably; upload unlawful, infringing, deceptive, harmful, or privacy-invasive content; or use unsupported assets, networks, or contracts in a manner creating material risk.

9. Business and user content

You retain ownership of content you submit and grant Yulo a worldwide, nonexclusive, royalty-free license to host, reproduce, technically adapt, and display it as needed to operate, secure, improve, and promote the relevant feature. You represent that you have the necessary rights and that listings are accurate and lawful.

10. Intellectual property

Yulo, its software, branding, designs, documentation, and service content are owned by Yulo or its licensors and protected by intellectual-property laws. Except for the limited right to use Yulo under these Terms, no rights are transferred.

11. No financial, legal, or tax advice

Yulo provides software and general information, not financial, investment, legal, accounting, or tax advice. Digital assets can be volatile and may lose all value. Stablecoins may lose their reference value, become illiquid, be frozen by an issuer, or be affected by smart-contract, reserve, regulatory, or operational risks.

12. Service changes, suspension, and termination

We may modify, discontinue, limit, or suspend hosted features for maintenance, security, legal, provider, or business reasons and may suspend accounts that violate these Terms. Because your wallet is self-custodial, termination of hosted services does not itself transfer your assets to Yulo. You remain responsible for preserving recovery information and using compatible software.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YULO IS PROVIDED “AS IS” AND “AS AVAILABLE.” YULO DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE ERROR-FREE. WE DO NOT GUARANTEE ANY BLOCKCHAIN, TOKEN, SMART CONTRACT, THIRD-PARTY SERVICE, TRANSACTION, MERCHANT, USER, BUSINESS LISTING, OR RESULT. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YULO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR LOSS OF DIGITAL ASSETS ARISING FROM LOST KEYS, USER ERROR, UNAUTHORIZED ACCESS, BLOCKCHAIN OR SMART-CONTRACT EVENTS, THIRD-PARTY SERVICES, OR SERVICE INTERRUPTION. OUR AGGREGATE LIABILITY ARISING FROM YULO WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID YULO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. This limitation does not apply where prohibited by law.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Yulo and its affiliates and personnel from claims, losses, liabilities, and reasonable expenses arising from your unlawful use, violation of these Terms, infringement of another person’s rights, content or listings, or transactions you authorize. This does not apply to the extent a claim results from Yulo’s unlawful conduct.

16. Governing law and disputes

These Terms are governed by Arkansas law, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Before filing a claim, you and Yulo agree to attempt good-faith informal resolution for at least 30 days after written notice. Judicial proceedings not resolved informally must be brought in a state or federal court with jurisdiction in Arkansas, except where applicable law provides otherwise.

17. Changes to these Terms

We may update these Terms to reflect changes in Yulo, law, risk, or business practices. We will post revised Terms with an updated effective date and provide additional notice when legally required. Material changes apply prospectively.

18. General terms

These Terms and incorporated policies are the entire agreement regarding Yulo. If a provision is unenforceable, it will be modified only as necessary and the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, or transfer of Yulo.
